1. Introduction
Welcome to Ionic Market ("the Platform", "we", "us", or "our"). Ionic Market is an online marketplace that connects independent developers and studios ("Sellers") who create and sell Ionic app templates, UI kits, and related digital products with developers and businesses ("Buyers") who purchase them.
By creating an account or using any part of the Platform, you ("User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms apply to all Users, including Buyers, Sellers, and visitors.
2. Marketplace Role
Ionic Market operates solely as a technology platform that facilitates transactions between independent Sellers and Buyers. Ionic Market is not the seller of any product listed on the Platform. Each product is sold directly by the individual Seller who listed it.
Ionic Market does not inspect, endorse, warrant, or guarantee any product listed on the Platform. Any contract for the sale and purchase of a product is formed exclusively between the Buyer and the Seller. Ionic Market is not a party to that contract.
3. Accounts
3.1 Registration
To buy or sell on the Platform you must create an account and provide accurate, current, and complete information. You must be at least 18 years of age to register. Businesses may register provided an authorised representative completes registration on their behalf.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access. Ionic Market is not liable for losses arising from unauthorised use of your account.
3.3 One Account per User
Each individual or business may maintain one account. Creating duplicate or fraudulent accounts is prohibited and may result in immediate suspension.
4. Seller Terms
4.1 Seller Responsibility
Sellers are solely responsible for the products they list, including their functionality, quality, accuracy of descriptions, and ongoing support. Ionic Market conducts a basic review of submitted products before they are listed, covering code quality, documentation, and compatibility requirements. However, this review does not constitute an endorsement or guarantee of any product's fitness for purpose.
4.2 Accuracy of Listings
Sellers must ensure that all product listings are accurate, complete, and not misleading. This includes descriptions, screenshots, demo links, and stated compatibility. Sellers must update listings promptly when product details change.
4.3 Intellectual Property Ownership
By listing a product, Sellers represent and warrant that they own or have all necessary rights and licences to sell that product, and that doing so does not infringe the intellectual property or other rights of any third party. Sellers must not list products that contain third-party assets (fonts, images, code libraries) unless they hold appropriate licences to redistribute those assets.
4.4 Legal Compliance
Sellers are responsible for complying with all applicable laws, including export controls, tax obligations, and consumer protection regulations in their jurisdiction. Sellers must not list products that violate any applicable law.
4.5 Seller Onboarding
To receive payments, Sellers must complete identity verification and onboarding with Stripe Connect as required by Stripe's terms of service. Ionic Market may decline or suspend a Seller account if Stripe onboarding cannot be completed.
5. Product Listings and Purchases
5.1 Nature of Digital Products
All products sold on Ionic Market are digital goods (e.g., source code, template files, UI components). There are no physical goods or shipping. Delivery is immediate upon confirmed payment via a secure download link.
5.2 Licensing
Unless explicitly stated otherwise in a product's listing, purchasing a product grants the Buyer a non-exclusive, non-transferable licence to use the product for personal or commercial projects. This licence does not transfer ownership of the intellectual property. Buyers may not redistribute, resell, or sublicense purchased products as standalone items.
5.3 Product Quality
Ionic Market does not guarantee the quality, fitness for purpose, or accuracy of any product. Buyers should review product descriptions, demo previews, and seller reviews before purchasing.
6. Payments
6.1 Payment Processing
All payments are processed securely by Stripe. By making a purchase, you also agree to Stripe's terms of service and privacy policy. Ionic Market does not store your card details.
6.2 Platform Commission
Ionic Market charges Sellers a commission on each sale. The applicable commission rate is displayed to Sellers during onboarding and in their dashboard. This fee is deducted automatically from each transaction before funds are disbursed to the Seller.
6.3 Seller Payouts
Seller payouts are managed directly by Stripe Connect according to Stripe's payout schedule and policies. Ionic Market is not responsible for delays caused by Stripe, banking institutions, or failed identity verification.
6.4 Taxes
Sellers are solely responsible for determining, collecting, and remitting any applicable taxes on their sales. Ionic Market does not provide tax advice.
7. Refunds and Disputes
7.1 Refund Policy
Because products are digital and delivered immediately, all sales are generally final. Refunds may be granted at Ionic Market's discretion in the following circumstances:
- The product is materially misrepresented in its listing (e.g., described features do not exist).
- The product files are corrupted, inaccessible, or cannot be downloaded.
- Duplicate charges occurred due to a technical error.
Refund requests must be submitted within 14 days of purchase via the Support page and must include a clear description of the issue.
7.2 Dispute Resolution
Ionic Market may, at its discretion, mediate disputes between Buyers and Sellers. However, as Ionic Market is not a party to the sale, it does not guarantee any particular resolution. Ionic Market's decision in any dispute mediation is final.
7.3 Chargebacks
If a Buyer initiates a chargeback without first contacting Ionic Market support, we reserve the right to suspend the Buyer's account pending investigation.
8. Intellectual Property
Sellers retain all intellectual property rights in the products they list on the Platform. Buyers receive only the licence granted by the product listing — they do not receive ownership of any intellectual property.
Ionic Market retains all rights in the Platform itself, including its design, branding, software, and content created by Ionic Market. You may not copy, reproduce, or distribute any part of the Platform without our written consent.
If you believe a product listed on the Platform infringes your intellectual property rights, please contact us via the Support page with full details of your claim.
9. Prohibited Conduct
You agree not to:
- List or purchase products for unlawful purposes.
- Upload products that contain malware, spyware, or malicious code.
- Infringe the intellectual property rights of any third party.
- Submit false, misleading, or fraudulent information.
- Circumvent any payment or commission mechanism of the Platform.
- Conduct transactions outside the Platform to avoid fees.
- Harass, threaten, or abuse other Users.
- Use automated tools to scrape or abuse the Platform.
- Create multiple accounts to circumvent restrictions or bans.
Violation of these rules may result in immediate account suspension and, where applicable, referral to relevant authorities.
10. Termination
Ionic Market reserves the right to suspend or permanently terminate any account, at its sole discretion, for breach of these Terms, fraudulent activity, or any conduct that Ionic Market deems harmful to the Platform or its users.
Upon termination, your right to access the Platform ceases immediately. For Sellers, any pending payouts will be subject to Stripe's policies and any applicable withholding periods. Ionic Market will not be liable for any losses resulting from account termination.
You may delete your account at any time via the Settings page. Deletion does not automatically entitle you to a refund of any fees paid.
11. Limitation of Liability
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, Ionic Market shall not be liable for:
- The quality, accuracy, or fitness of any product sold by a Seller.
- Any indirect, incidental, consequential, special, or punitive damages.
- Loss of profits, data, goodwill, or business opportunities.
- Actions or omissions of Sellers or Buyers.
- Platform downtime or technical failures beyond our reasonable control.
Where liability cannot be fully excluded by law, our total liability to you shall not exceed the fees you have paid to Ionic Market in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Ionic Market and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Platform or violation of these Terms.
- Any product you list or sell on the Platform.
- Your infringement of any third-party rights, including intellectual property rights.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify registered users by email or via an in-platform notice.
Continued use of the Platform after changes have been posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
